GTS — ELYSÉA CERVEAU SDK Subscriptions

These general terms of sale (“GTS”) govern any purchase of a subscription to the ELYSÉA CERVEAU SDK made via elysea.app. They apply to builders (individuals or legal entities) subscribing to paid SDK access. End users of applications integrating the SDK are subject to the terms of the third-party application.

Sales opening soon. No payment is accepted yet. Offers are listed on the /tarifs page. Three types of access are planned:

• Test — Free test: 500 interactions per month (sk_test_ key), no credit card. No charge.
• Production — Production (sk_live_ key): €2.50 excl. VAT per active user per month up to 5,000, €1.50 from 5,001 to 25,000, €0.80 above — graduated by bracket, no fixed fee. Billed monthly in arrears via Stripe.
• Teams (annual licence) — Teams: €30 excl. VAT per seat per year up to 5,000 seats, €18 from 5,001 to 25,000, €9.60 above — the rate applies to all seats based on the total covered. Annual billing.

Prices are exclusive of VAT. Applicable VAT is that in force at the time of billing. ELYSÉA reserves the right to modify pricing with 30 days' notice, without retroactive effect on the current period.

A subscription is made from an authenticated builder account; the subscription is attached to that account. It is finalised upon Stripe payment confirmation. Production access (sk_live_) is activated after individual review of the use case by the founder of ELYSÉA. A Stripe confirmation email is sent to the account address.

Payments are processed by Stripe, a third-party payment operator. ELYSÉA does not store any card data. Invoices will be viewable in your ELYSÉA builder portal when it opens; until then, on written request. In case of non-payment: Service suspended after 10 days of non-payment. Crisis detection and emergency resources remain active during that period.

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to digital services where execution has begun with the buyer's express consent before the withdrawal period expires. For any subscription where SDK access has been activated, no refund is due for the current period.

Customers may cancel their subscription at any time via the Stripe portal. Cancellation takes effect at the end of the current billing period. SDK access is maintained until that date. No partial refund is granted for unused time, unless otherwise contractually agreed.

ELYSÉA commits to maintaining SDK availability on a best-effort basis, excluding planned maintenance (notified 48 h in advance) and force majeure. Any interruption can be reported to contact@elysea.app.

The subscription grants the customer a non-exclusive, non-transferable, revocable licence to use the ELYSÉA CERVEAU SDK for the purposes defined in the subscribed offer. Any reproduction, redistribution or reverse engineering of the SDK is prohibited without prior written consent from ELYSÉA.

ELYSÉA shall not be liable for indirect damages arising from use or unavailability of the SDK, nor for the compliance of third-party applications integrating the SDK with sector-specific regulations. The customer remains solely responsible for their use of the SDK within their application.

Data collected at subscription (email, billing details) is processed in accordance with ELYSÉA's privacy policy. Payment data is managed exclusively by Stripe — ELYSÉA does not access it.

ELYSÉA reserves the right to amend these GTS. In case of material amendment, subscribing customers are notified by email at least 30 days before the changes take effect. Continued subscription constitutes acceptance of the new terms.

These GTS are governed by French law. In case of dispute, and after an attempt at amicable resolution, the courts with jurisdiction over ELYSÉA's registered office shall have exclusive jurisdiction.
