GTS — ELYSÉA CERVEAU SDK Subscriptions

These general terms of sale (“GTS”) govern any purchase of a subscription to the ELYSÉA CERVEAU SDK made via elysea.app. They apply to builders (individuals or legal entities) subscribing to paid SDK access. End users of applications integrating the SDK are subject to the terms of the third-party application.

Available offers at the time of subscription are listed on the /tarifs page. Three types of subscription are offered:

• Discovery (free) — test-mode access (sk_test_), up to 1,000 monthly active users. No charge.
• Production (pay-as-you-go) — €2.50 excl. VAT per monthly active user (MAU). Billed monthly in arrears via Stripe.
• Teams (annual licence) — annual flat fee including a MAU quota defined at subscription. Annual billing.

Prices are exclusive of VAT. Applicable VAT is that in force at the time of billing. ELYSÉA reserves the right to modify pricing with 30 days' notice, without retroactive effect on the current period.

A subscription is finalised upon Stripe payment confirmation. Production access (sk_live_) is activated manually by the ELYSÉA team within 24 business hours of payment confirmation. A confirmation email is sent to the address provided at subscription.

Payments are processed by Stripe, a third-party payment operator. ELYSÉA does not store any card data. Invoices are available in the customer's Stripe dashboard. In case of payment failure, production access may be suspended after 7 days without response to follow-up notices.

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to digital services where execution has begun with the buyer's express consent before the withdrawal period expires. For any subscription where SDK access has been activated, no refund is due for the current period. For annual subscriptions not yet activated, a refund request may be submitted within 14 days of subscription via contact@elysea.app.

Customers may cancel their subscription at any time via the Stripe portal. Cancellation takes effect at the end of the current billing period. SDK access is maintained until that date. No partial refund is granted for unused time, unless otherwise contractually agreed.

ELYSÉA commits to maintaining SDK availability on a best-effort basis, excluding planned maintenance (notified 48 h in advance) and force majeure. In the event of a prolonged outage attributable to ELYSÉA, a credit proportional to the downtime may be granted upon substantiated request to contact@elysea.app.

The subscription grants the customer a non-exclusive, non-transferable, revocable licence to use the ELYSÉA CERVEAU SDK for the purposes defined in the subscribed offer. Any reproduction, redistribution or reverse engineering of the SDK is prohibited without prior written consent from ELYSÉA.

ELYSÉA shall not be liable for indirect damages arising from use or unavailability of the SDK, nor for the compliance of third-party applications integrating the SDK with sector-specific regulations. The customer remains solely responsible for their use of the SDK within their application.

Data collected at subscription (email, billing details) is processed in accordance with ELYSÉA's privacy policy. Payment data is managed exclusively by Stripe — ELYSÉA does not access it.

ELYSÉA reserves the right to amend these GTS. In case of material amendment, subscribing customers are notified by email at least 30 days before the changes take effect. Continued subscription constitutes acceptance of the new terms.

These GTS are governed by French law. In case of dispute, and after an attempt at amicable resolution, the courts with jurisdiction over ELYSÉA's registered office shall have exclusive jurisdiction.
