Dossier 08 — Funders
Project holder: Sébastien Sanna, Geneva sole proprietorship, not registered (holding-seb-docs:docs/juridique/AIPD_ELYSEA_2026-09-30.md:37@8560b37). No sales, no revenue, no campaign results.
Identity: ethical cognitive infrastructure embeddable through an SDK. ELYSÉA is neither a companion, nor a chatbot, nor a coach, nor a therapist, nor a wellness product, nor a medical device.
Rule: no application is sent by this mission. The texts are ready for review.
DEADLINE No. 1 — Innosuisse innovation project to be filed BEFORE THE FIRST SALE. The programme targets a product “about to enter the market. Ready-developed products or services are not yet offered on the market” and requires a company “registered in the Swiss registry of commerce” [S-FIN-05]. Mandatory order: registration in the register → filing of the project (sheet F02) → first sale. A sale made before filing closes this programme.

2. Recommended order (settled)
- Right now, without registration: F01 Initial Coaching (after the answer to Q-F01-1), F07 FONGIT support, F10 AWS Activate Founders, F12 MLCommons observer, F11 AI Pact pillar I.
- Registration of the sole proprietorship in the Geneva commercial register — it also unlocks sales.
- Right after registration, before any sale: F02 start-up innovation project (the only programme that requires the pre-market stage); F08 FAE expert mandates.
- After a research collaboration (dossier 07): F04 innovation cheque (re-annotation by a lab), F05 Venture Kick (before any revenue).
- After the campaign results are published: F06 EIC Accelerator.
- After sales open: F03 Genilem.
- Autumn 2026 → March 2027: F09 Cluster 4 as a partner.
Conflict for Sébastien to arbitrate: F02 and F05 want a project without revenue; Genilem and FAE viability want a commercial approach. Most protective option chosen: file F02 (and F05 if a collaboration exists) before opening sales, then open sales.
Legal form: Venture Kick (stage 3), FONGIT Seed Tech and any equity investment presuppose a capital company. Decision: remain a sole proprietorship for registration (unlocks sales, FAE, F01, F10, F12); decide between Sàrl and SA at the time of a first equity offer or of Venture Kick stage 3.
